END USER LICENSE AGREEMENT FOR THE USE OF THE TRAVEL AND TRAFFIC INFORMATION SERVICES PROVIDED IN FINLAND, SWEDEN, NORWAY AND DENMARK.
1 SCOPE
1.1 This End User License Agreement ("EULA") contains the terms and conditions regarding your use of the Services (as defined below in section 2.6) provided by the Service Provider (as defined below in section 2.7) in the Territory (as defined below in section 2.8) and material limitations to your rights in that regard. If you are acting as an agent or other representative of a company or another legal person, such as an officer or other employee acting for your employer, then "you" and "your" mean your principal, the entity or other legal person for whom you are acting.
1.2 This EULA has been made publicly available in the Service Provider Traffic web service on the Service Provider's official website (http://www.Service Providertraffic.com/eula/). However, if you have not reviewed this EULA prior to opening the sales package of the Product (as defined below in section 2.5), you should read this printed version of the EULA carefully as it is a legal agreement between you and the Service Provider as if the Service Provider and you physically signed this EULA. If you would like to get an unofficial translation of this EULA from English to your respective local language in the Territory, please visit the above-mentioned website. By opening the sales package of the Product that you've purchased containing this EULA and thereafter commencing the use of the Services, you automatically accept and agree to be bound by the terms and conditions contained in this EULA. 2 DEFINITIONS
2.1 "Act" shall mean the applicable local consumer protection laws and regulations.
2.2 "Data" shall mean collectively the travel and traffic information and the related location data made available to you through the Services by the Service Provider.
2.3 "Intellectual Property Rights" shall mean all copyrights, trademarks, trade secrets, patents and other intellectual property rights recognized in any jurisdiction worldwide, including all applications and registrations with respect thereto.
2.4 "Manufacturer" shall mean the manufacturer of the Product and its affiliates.
2.5 "Product" shall mean the personal navigation device enabled to receive the Services manufactured, marketed, sold and distributed by the Manufacturer.
2.6 "Services" shall mean the provision of the Data to you by the Service Provider.
2.7 "Service Provider" shall mean Service Provider Oy with the Finnish Corporate ID 2336420-2 and registered address Jämsänkatu 2, 00520 Helsinki, Finland.
2.8 "Territory" shall mean Sweden and Finland.
3 LICENSE GRANT
3.1 The Service Provider hereby grants to you a non-exclusive right to use the Services in the Territory for the life of the Product, or when the third party licenses, services and information required for providing the Services become unavailable on commercially reasonable terms, or until the Service Provider discontinues providing the Services in the form as they were provided when you purchased the Product, which ever is the shortest.
3.2 There are no implied licenses granted under this EULA, and all rights save for those expressly granted to you above, shall remain with the Service Provider.
4 INTELLECTUAL PROPERTY AND OTHER RIGHTS
Title and all Intellectual Property Rights to or associated with the Services and/or the Data shall always be vested in the Service Provider, its licensors or other suppliers.
5 WARRANTY DISCLAIMER
5.1 The Service Provider shall provide the Services with due care and professional skill in the Territory until the expiry or termination of the license grant as agreed in section 3.1 above. For the avoidance of any doubt, the Service Provider's warranty provided hereunder shall cover only the Services expressly excluding the Product.

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE MANUFACTURER, ITS DISTRIBUTORS AND/OR RESELLERS SHALL IN ANY WAY EXTEND THE SCOPE OF THIS WARRANTY.
5.3 IN CASE THE SERVICES HAVE NOT BEEN PERFORMED WITH DUE CARE AND PROFESSIONAL SKILL AS AGREED IN SECTION 5.1 ABOVE, YOUR SOLE REMEDY IS RE-PERFORMANCE OF THE SERVICES EXPRESSLY EXCLUDING OTHER REMEDIES ARISING FROM THE ACT OR OTHER APPLICABLE STATUTORY LAWS, TRADE USAGE, GENERAL PRINCIPLES OR OTHER SOURCES OF LAW, WHICH ARE HEREBY EXCLUDED TO THE FULLEST EXTENT PERMITTED BY THE MANDATORY REMEDIES AVAILABLE TO YOU UNDER THE ABOVE-REFERRED SOURCES OF LAW.
6 LIMITATION OF LIABILITY
6.1 FOR THE AVOIDANCE OF ANY DOUBT, YOU HAVE A RIGHT TO CLAIM DAMAGES FROM THE SERVICE PROVIDER ONLY IN SITUATIONS IN WHICH SUCH RIGHT CANNOT BE EXCLUDED BASED ON SECTION 5.3.

6.2 EXCLUDING THE SITUATIONS IN WHICH LIABILITY FOR (A) INDIRECT DAMAGES CANNOT BE LIMITED BASED ON THE MANDATORY PROVISIONS IN THE ACT AND OTHER APPLICABLE LOCAL LAWS, THE SERVICE PROVIDER SHALL NOT BE LIABLE FOR INDIRECT DAMAGES; AND (B) DIRECT DAMAGES CANNOT BE LIMITED BASED ON THE MANDATORY PROVISIONS IN THE ACT AND OTHER APPLICABLE LOCAL LAWS, THE SERVICE PROVIDER SHALL NOT BE LIABLE FOR DIRECT DAMAGES TO THE EXTENT THEY EXCEED THE FEES, WHICH YOU HAVE ACTUALLY PAID FOR THE SERVICES EXPRESSLY EXCLUDING THE PRICE OF THE PRODUCT.
6.3 TO THE EXTENT PERMITTED BY THE MANDATORY PROVISIONS IN THE ACT AND OTHER APPLICABLE LOCAL LAWS, THE LIMITATION PERIOD FOR YOUR CLAIMS FOR DAMAGES SHALL BE TWO (2) YEARS FROM THE POINT IN TIME WHEN THE CLAIM AROSE AND YOU BECAME AWARE THEREOF. REGARDLESS OF YOUR KNOWLEDGE THE LIMITATION PERIOD SHALL ALWAYS BE THREE (3) YEARS FROM THE DAMAGING EVENT.
6.4 WITH THE EXCEPTION OF LIABILITY FOR PERSONAL INJURY OR PROPERTY UNDER THE APPLICABLE LOCAL PRODUCT LIABILITY LAWS, THE ABOVE LIMITATIONS SHALL APPLY TO ALL CLAIMS FOR DAMAGES, IRRESPECTIVE OF THEIR LEGAL BASIS.
7 GENERAL TERMS
7.1 This EULA constitutes the entire agreement and understanding by and between you and the Service Provider. This EULA supersedes any prior and contemporaneous proposals, purchase orders, advertisements, and all other communications in relation to the subject matter of this EULA, whether oral or written. Any additions or modifications hereto must be made in writing and signed by a duly authorized Service Provider representative. This also applies to any waiver of this requirement of written form. For the avoidance of any doubt, the Manufacturer and their distributors do not have a permission to modify this EULA on behalf of the Service Provider.
7.2 If for any reason a court finds any provision of this EULA, or any portion thereof, to be unenforceable, that provision of this EULA will be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remainder of this EULA will continue in full force and effect.
7.3 Subject to section 6.3 above, a failure of a party to insist upon the performance of one or more of the terms of this EULA will not be deemed to be a waiver of its right to enforce such term, or of any rights or remedies that party may have under this EULA.
7.4 This EULA shall be governed in all respects by the laws of the country within the European Economic Area (EEA) in which you are domiciled. If you are domiciled outside the European Economic Area (EEA), this EULA shall be governed in all respects by the laws of the country in the European Economic Area (EEA) from which you purchased the license to use the Services. The United Nations Convention on Contracts for the International Sale of Goods, done at Vienna April 11, 1980, is excluded.
All disputes arising under this EULA shall be brought in the public court in the country within the European Economic Area (EEA) in which you are domiciled. If you are domiciled outside the European Economic Area (EEA), the forum for all disputes shall be the public court in the country within the European Economic Area (EEA) from which you purchased the license to use the Services.

4EXPORTLAWASSURANCES
You agree and certify that neither the Software nor any other technical data are received from Pioneer, nor the direct product thereof, will be exported outside the country or district (the "Country") governed by the government having jurisdiction over you (the "Government") except as authorised and as permitted by the
lawsandregulationsoftheGovernment.Ifthe Softwarehasbeenrightfullyobtainedbyyou outsideoftheCountry,youagreethatyouwill notre-exporttheSoftwarenoranyothertechnicaldatareceivedfromPioneer,northedirectproductthereof,exceptaspermittedby thelawsandregulationsoftheGovernment andthelawsandregulationsofthejurisdictioninwhichyouobtainedtheSoftware.
5TERMINATION
This Agreement is effective until terminated. You may terminate it at any time by destroying the Software. The Agreement also will terminate if you donot comply with any terms or condition so this Agreement. Upon such termination, you agree to destroy the Software.
6MISCELLANEOUS
ThisistheentireAgreementbetweenPioneer andyouregardingitssubjectmatter.No changeinthisAgreementshallbeeffective unlessagreedtoinwritingbyPioneer.Ifany provisionofthisAgreementisdeclaredinvalid orunenforceable,theremainingprovisionsof thisAgreementshallremaininfullforceand effect.
TERMSANDCONDITIONSFORTHETOMTOMDATA
End User Licensing Terms
THIS IS A LEGAL AGREEMENT (THE "AGREEMENT") BETWEEN YOU, THE END USER, AND PIONEER AND ITS LICENSORS, SUCH AS TOMTOM INTERNATIONAL B.V. OR ANY OF ITS AFFILIATES ("TOMTOM"), OF DATA PRODUCTS (PIONEER AND ITS LICENSORS HEREINAFTER COLLECTIVELT REFFERED TO AS "LICENSORS"). BY USING YOUR COPY OF ALL THE LICENSED DATA ("LICENSED PRODUCTS"), YOU AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT.
1. Grant of License.
Licensors grant you a non-transferable, on-exclusive license to use the map data and related products, owned by TomTom (together the "Data") contained on the DVD-ROM or other related hardware, solely for personal, non-commercial use and not to operate a service bureau or for any other use involving the processing of data of other persons or entities. You may not copy, reproduce, modify, create derivative works, derive the structure of or reverse engineer the Data. The Data is restricted for use with the PIONEER products only. The Data contains confidential and proprietary information and materials, and may contain trade secrets, so you agree to hold the Data in confidence and in trust and not to disclose the Data or any portion thereof in any form, including by renting, leasing, publishing, sublicensing or transferring the Data to ant third party. You are explicitly prohibited from downloading the digital maps and programmes contained in the Data or from transferring these to another data carrier or computer. You are prohibited from removing or obscuring any copy right, trademark notice or restricted legend.
2. Ownership.
The Data is copyrighted by TomTom and its licensors and they retain all ownership rights to the Data. You agree not to alter, remove or obscure any copyright notice or proprietary legend contained in or on the Data. Unauthorized copying of the Data is explicitly prohibited. The license is only for your own internal business or personal use and not for resale, distribution, sublicense or commercial use. The Licensed Products are to be considered as confidential information of TomTom and disclosure of the Licensed Products to third parties is explicitly prohibited.
3. Limitation of Liability.
NEITHER TOMTOM NOR ITS SUPPLIERS SHALL
BE LIABLE TO YOU FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, INDIRECT OR EXEMPLARY DAMAGES ARISING OUT OF THIS AGREEMENT, INCLUDING LOST PROFITS OR COSTS OF COVER, LOSS OF USE OR BUSINESS INTERRUPTION OR THE LIKE, REGARDLESS OF WHETHER YOU WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, TOMTOM SHALL HAVE NO MONETARY LIABILITY TO YOU FOR ANY CAUSE (REGARDLESS OF THE FORM OF ACTION) UNDER OR RELATING TO THIS AGREEMENT.
4. Warranty disclaimer.
THE DATA IS PROVIDED ON AN "AS IS" AND "WITH ALL FAULTS BASIS" AND TOMTOM AND ITS SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, SATISFACTORY QUALITY, ACCURACY, TITLE AND FITNESS FOR A PARTICULAR PURPOSE. NO ORAL OR WRITTEN ADVICE OR INFORMATION PROVIDED BY TOMTOM OR ANY OF ITS AGENTS, EMPLOYEES OR THIRD PARTY PROVIDERS SHALL CREATE A WARRANTY, AND LICENSEE IS NOT ENTITLED TO RELY ON ANY SUCH ADVICE OR INFORMATION. THIS DISCLAIMER OF WARRANTIES IS AN ESSENTIAL CONDITION OF THE AGREEMENT AND YOU ACCEPT THE DATA ON THIS BASIS.
5. Termination.
This Agreement will terminate immediately and automatically, without notice, if you breach any term of this Agreement. You agree that in the event of termination of the Agreement, you shall return the Data (including all documentation and all copies) to PIONEER and its suppliers.
6. Indemnity.
You agree to indemnify, defend and hold PIONEER, its Licensors, and its suppliers (including their respective licensors, suppliers, assignees, subsidiaries, affiliated companies and the respective officers, directors, employees, shareholders, agents and representatives) free and harmless from and against any liability, loss, injury (including injuries resulting in death), demand, action, cost, expense, or claim of any kind or character, including but not limited to legal fees arising out of or in connection with any use or possession by you of the Data.
7. U.S. GOVERNMENT RIGHTS.
If End User is an agency, department, or other entity of the United States Government, or funded in whole or in part by the United States Government, then use, duplication, reproduction, release, modification, disclosure or transfer of this commercial product and accompanying documentation, is restricted in accordance with the LIMITED or RESTRICTED rights as described in any applicable DFARS or FAR. 8. Additional provisions for Premium Points of Interest (the "POIs").
End User specifically agrees that it shall not:
(i) except as otherwise specifically set forth herein, license or otherwise provide the POI Licensed Products to any third party for the purposes of resale, sublicensing, redistribution or for the purpose of compiling, enhancing, verifying, supplementing, adding to or deleting from any mailing list, geographic or trade directories, business directories, classified directories, classified advertising which is sold, rented, published, furnished or in any manner provided to a third party; (ii) make the POI Licensed Products available in an on-line environment unless properly secured and/or encrypted to prevent unauthorized access to the POI Licensed Products; and
(iii) use the POI Licensed Products, either in whole or in part, as a factor in (a) establishing an individual's eligibility for credit or insurance; (b) connection with underwriting individual insurance; (c) evaluating an individual for employment or promotions, reassignment or retention as an employee; (d) in connection with a determination of an individual's eligibility for a license or other benefit granted by a governmental authority; or (e) for soliciting survivors of deceased persons.
(iv) create mailing or telemarketing lists unless authorized in this Agreement.
(v) End User will house the POI Licensed Products on the Internet behind firewalls and will implement a
system of controls that will (i) protect the integrity of the POI Licensed Products; (ii) control access to the POI Licensed Products and (iii) prevent unauthorized usage or copying of the POI Licensed Products.
9. Additional provisions with respect to the Local Points of Interest North America.
It is expressly prohibited to use the Local Points of Interest North America for (a) telephone call routing related applications; (b) screen pop applications, (c) CD-ROM director of other derivative directory product; (d) verification services; (e) caller name services; and (f) online marketing lead verification services. The Local Points of Interest North America cannot be licensed to the following companies, their commonly owned companies or aliases: Acxiom, Accudata, Allant, Alliance Data, eBeureau, Equifax, Experian, Knowledgebase Marketing, ChoicePoint, Harte-Hanks, Infutor, Donnelley Marketing, infoGroup, Trans Union, Transaction Network Services, and LexisNexis.
10. Local Points of Interest North America.
The copyright notice is: "© 2006-2012 TomTom. All rights reserved. This material is proprietary and the subject of copyright protection, database right protection and other intellectual property rights owned by TomTom or its suppliers. Portions of the POI database contained in Local Points of Interest North America have been provided by Localeze. The use of this material is subject to the terms of a license agreement. Any unauthorized copying or disclosure of this material will lead to criminal and civil liabilities."
11. Usage of the Brand Icon component.
End User agrees that the use of the Brand Icon component is subject to the terms and conditions set forth in this Agreement and that there may be additional third party terms, conditions and restrictions to which the use of the Brand Icon component will be subject and which will be provided to the End User from time to time in the product release notes.
12. Additional Provisions with respect to 3D Landmarks Licensed Product (the "3D Landmarks").
Licensee agrees to include as soon as practically possible, but no later than the first new release of the Value Added Product following Licensee's receipt of any 3D Landmarks, any copyright notices related to the display of such landmarks on every Value Added Product and in the "about box" of the Value Added Product.
Notwithstanding the aforementioned, TomTom has the right to decide, at its sole discretion, to remove specific 3D Landmarks in subsequent releases of the Licensed Products. In such case, Licensee will remove those 3D Landmarks from the Value Added Product as soon as practically possible, but not later than the first new release of the Value Added Product following Licensee's receipt of the Update to the Licensed Product. TomTom shall not be held responsible for any possible damages, costs or expenses incurred by Licensee related to such removal of a 3D Landmark by TomTom from the Licensed Product or failure to remove a 3D Landmark by Licensee from the Value Added Product.
13. Copyright notice.
Licensee shall conspicuously display each applicable then current copyright notice for the Licensed Products on the initial splash screen, in the code, on the storage medium, on the packaging, in the "Help/About" section, in the operator's manual, and in any displayed or printed map image, for each Value Added Product that is based upon:

14. Miscellaneous.
This is the exclusive and complete Agreement between the Licensors and you as End User regarding its subject matter. Nothing in this Agreement shall create a partnership or principal-agent relationship between the Licensors and you. Sections 2.5 and 7–11 shall survive the expiration or termination of the Agreement. The Agreement may be amended, altered or modified from time to time by the Licensors on sole discretion. You may not assign any part of this Agreement without Licensors' prior written consent. You acknowledge and understand that the Data may be subject to restrictions on exportations and agree to comply with any applicable export laws. In the event that any provision or part of a provision of this Agreement is determined to be invalid, illegal or unenforceable, such provision or part thereof shall no longer be applicable and the remainder of this Agreement shall be valid, legal and enforceable to the maximum extent possible. Any notice under this Agreement shall be delivered by courier to PIONEER, Attention Legal Department.
